RECOMMENDATION

Approve the First Amendment to the Agreement with Leighton Consulting, Inc., to reflect the assignment of the agreement to Verdantas, Inc., following Verdantas’ acquisition of Leighton; and
Authorize the City Manager to execute the amendment.

PRIOR ACTION/VOTE
On June 20, 2023, City Council authorized entering into an on-call geotechnical consulting services agreement with Leighton Consulting, Inc. (Vote: 4-0).

DISCUSSION
Leighton Consulting, Inc. (Leighton) is a geotechnical engineering firm that was awarded an on-call agreement with the City of Murrieta (City) in June 2023. The agreement has a three-year term and may be renewed for up to three additional one-year terms, subject to satisfactory performance and at the discretion of the City Manager.
Leighton recently notified the City that it was acquired by Verdantas, Inc. (Verdantas) in March 2024. As a result of this acquisition, an assignment of the agreement from Leighton to Verdantas is required. The attached First Amendment to the Agreement will address the assignment which transfers all rights and obligations under the existing agreement from Leighton to Verdantas, and Verdantas has accepted these obligations.
FISCAL IMPACT
There is no fiscal impact associated with the recommended action. All services will be provided through budget established in the operating and Capital Improvement Plan (CIP) budgets.
